SpotBasket Club Partner Agreement

1. General Provisions

1.1. Parties to the Agreement

1.2. Subject Matter

The Organizer provides the Partner with the opportunity to list their products and/or services in the SpotBasket Club partner catalog for the purpose of offering discounts and/or other benefits to SpotBasket Club members ("Members").

The Partner agrees to provide the stated discounts and/or benefits to Members in exchange for free promotion to the SpotBasket audience.

1.3. Free Partnership

Participation in the SpotBasket Partner Program is completely free for Partners. The Organizer does not charge any setup fees, monthly payments, or sales commissions.

2.2. Discount Terms and Conditions

The Partner independently determines the discount amount or benefit format when submitting their application. The minimum discount is 5% off retail price or an equivalent benefit.

The Partner may set additional conditions for the discount (minimum order amount, product exclusions, etc.), subject to approval by the Organizer and publication in the partner catalog.

2.3. Staff Training

The Partner agrees to inform their staff about the SpotBasket Partner Program, membership verification procedures, and discount application.

2.4. Information Accuracy

The Partner agrees to notify the Organizer of any changes to contact information, addresses, or discount terms at least 7 (seven) business days before the changes take effect.

3. Organizer Obligations

• List Partner information in the partner catalog on spotbasket.com
• Promote partner offers through email newsletters, social media, and other communication channels
• Provide promotional materials to Partners (when available)
• Inform Members about partner discount usage rules
• Provide promo code usage statistics (where technically feasible)

4. Liability

4.1. Partner Liability

4.2. Complaint Procedure

Members may submit complaints about Partner actions to [email protected]. The Organizer will review complaints within 10 (ten) business days and notify the Partner of the decision.

The Partner may provide an explanation regarding the complaint within 5 (five) business days of receiving notification from the Organizer.

4.3. Limitation of Organizer Liability

The Organizer is not liable for the quality of goods and services provided by the Partner, nor for any disputes between the Partner and Members unrelated to partner discounts.

5. Term and Termination

5.1. Term

This Agreement takes effect upon approval of the Partner's application by the Organizer and remains in force for 1 (one) year. The Agreement automatically renews for each subsequent year unless either party provides written notice of termination at least 30 (thirty) calendar days before expiration.

5.2. Grounds for Termination

The Organizer may terminate this Agreement unilaterally in the following cases:

• Systematic violation of Agreement terms by the Partner
• Receiving negative feedback from Members (more than 5 justified complaints per month)
• Cessation of Partner business or revocation of licenses/permits
• Actions that damage SpotBasket's reputation

5.3. Voluntary Withdrawal

The Partner may withdraw from the partner program at any time by notifying the Organizer via email at least 14 (fourteen) calendar days in advance.

6. Intellectual Property

The Partner may use the "SpotBasket" trademark and club logo solely to inform their customers about participation in the partner program. Any other use requires prior written consent from the Organizer.

The Organizer may use the Partner's name and logo to promote the partner program without additional approval.

7. Confidentiality and Data Protection

Both parties agree to maintain confidentiality of information obtained during the partnership. Personal data processing is conducted in accordance with applicable data protection laws (including GDPR for EU partners and CCPA for US partners) and the SpotBasket Privacy Policy.

8. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the United States of America and applicable international commercial law. Any disputes arising from or in connection with this Agreement shall first be attempted to be resolved through good-faith negotiations. If negotiations fail, disputes shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association (AAA).

For EU Partners: Disputes may alternatively be resolved under the jurisdiction of courts in the Partner's country of registration, in accordance with EU consumer protection regulations where applicable.

9. Miscellaneous

• The Organizer may amend this Agreement with at least 30 days' notice to Partners before amendments take effect.
• All notices shall be sent via email and deemed received on the following business day.
• If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
• This Agreement constitutes the entire agreement between the parties regarding the subject matter hereof.
