These Terms of Service ("Terms") govern your use of the SpotBasket website and all related services (collectively, the "Services"). SpotBasket OS and the SpotBasket apps are operated by SpotBasket OÜ, registry code 17528633, Sepapaja tn 6, 15551 Tallinn, Estonia (the "Company", "we", "us"). By accessing or using our Services, you agree to be bound by these Terms.

If you do not agree with any part of these Terms, please do not use our Services.

All prices for our services and products are displayed on our website, in our applications, or provided upon request. We reserve the right to modify our service offerings and pricing at any time.

• Access and use our Services for personal or authorized commercial purposes
• View and use content and materials provided through our Services
• Contact us through provided communication channels
• Subscribe to newsletters and updates

4.1. Pricing

All prices for our services and products are clearly displayed on our website, in our applications, and on product pages. Prices are subject to change without prior notice, but changes will not affect orders already placed or services already purchased.

4.2. Payment Methods

We accept the following payment methods:

• Stripe: Credit/debit cards (Visa, Mastercard, American Express, Discover)
• Paddle: Credit/debit cards, PayPal, and other local payment methods
• Wire transfer (for enterprise accounts)

All payments are processed securely through our payment partners Stripe and Paddle, which comply with PCI DSS standards.

4.4. Subscriptions

Subscription services automatically renew unless canceled before the renewal date. You can cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period, with no refunds for partial periods.

4.5. Platform Fee (SpotBasket OS)

SpotBasket OS is provided by SpotBasket OÜ to coaches, clubs and academies without a subscription fee and without limits on the number of students. Instead, SpotBasket OÜ charges a platform fee on payments that are processed online through SpotBasket OS:

• Standard: 3% of each payment processed online through SpotBasket OS;
• Academy: 3% of each payment processed online through SpotBasket OS, which includes access to the SpotBasket methodology and content updates;
• Franchise: the fee and other terms set out in the individual franchise agreement.

The platform fee applies only to online payments. Payments received in cash or recorded manually in SpotBasket OS are not subject to the fee. The fee is calculated on the amounts of the previous calendar month and invoiced monthly; invoices are payable within the term stated on the invoice. SpotBasket OÜ may change the fee rates by publishing the new rates on the pricing page at least 30 days before they take effect.

5. Intellectual Property

5.1. Ownership

All content, materials, trademarks, logos, designs, and intellectual property on our Services are owned by or licensed to SpotBasket. This includes but is not limited to:

• SpotBasket® trademark and logos
• SBScore® certification program
• Training programs and methodology
• Software code and applications
• Video content, images, and graphics
• Website design and structure

5.2. Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use our Services for their intended purpose. You may not copy, modify, distribute, sell, or create derivative works without our written permission.

6. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which complies with applicable data protection laws including GDPR and CCPA.

7. Disclaimers and Limitation of Liability

To the maximum extent permitted by law:

• SpotBasket shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim
• We are not responsible for third-party content, websites, or services
• We are not liable for unauthorized access to or alteration of your data

8. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes become effective upon posting to this page. Your continued use of our Services after changes constitutes acceptance of the modified Terms. We recommend reviewing these Terms periodically.

9. Governing Law

These Terms are governed by the laws of the Republic of Estonia, without regard to conflict of law principles. Any disputes shall be resolved by the courts of Estonia (Harju County Court, Tallinn). If you are a consumer, this does not deprive you of the protection of mandatory provisions of the law of your country of residence.
